1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of NegativeShield (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Description of the Service

NegativeShield analyzes Google Ads search terms using artificial intelligence to identify irrelevant traffic, suggests negative keywords, and helps you apply those negatives back to Google Ads as exclusion lists or shared sets. The Service may evolve over time, and features may be added, changed, or removed.

3. Google Ads Authorization

To use core features you may connect one or more Google Ads accounts via Google OAuth. You represent that you own or are authorized to manage the accounts you connect. You authorize NegativeShield to read data from, and—at your direction—make changes to, those accounts, including adding negative keywords and exclusion lists. You are solely responsible for the changes you apply to your Google Ads accounts through the Service and for reviewing their impact on your campaigns.

4. Acceptable Use

You agree not to:

  • use the Service in violation of any applicable law or the Google Ads or Google API terms and policies;
  • access data or accounts you are not authorized to access;
  • attempt to disrupt, reverse engineer, or circumvent the security or access controls of the Service;
  • resell or provide the Service to third parties except as expressly permitted.

5. Accounts & Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We may suspend or terminate access for violations of these Terms or to protect the Service or other users.

6. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. AI-generated classifications and negative-keyword suggestions are provided for your consideration and may contain errors; we do not warrant their accuracy, completeness, or suitability for your campaigns. You are responsible for reviewing all suggestions before applying them.

7. Limitation of Liability

To the maximum extent permitted by law, NegativeShield and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or advertising spend, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us, if any, in the twelve months preceding the claim.

8. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by the laws of the Czech Republic, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the competent courts of the Czech Republic.

If you are a consumer resident in the European Union, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence.
